SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN THEIR ENTIRETY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless Zupas and its respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

14.1 Informal Resolution

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS, YOUR USE OF OUR SERVICES, OR YOUR RELATIONSHIP WITH ZUPAS SHALL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION RATHER THAN IN COURT, EXCEPT AS OTHERWISE PROVIDED IN THIS SECTION.

Arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall take place in the United States, in a location mutually agreed upon by the parties or as determined by the arbitrator. The arbitrator's decision shall be binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND ZUPAS AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than arbitration, you and Zupas each waive any right to a jury trial and to participate in a class action, class arbitration, or representative proceeding.

14.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Either party may also bring a claim in small claims court for disputes within that court's jurisdiction.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you use our website or services, or maintain an account with us. You may terminate these Terms at any time by discontinuing your use of our services and closing your account, if applicable.

We reserve the right to suspend or terminate your access to our website or services, with or without notice, at any time and for any reason, including but not limited to:
